SELLER AGREEMENT

 

This Seller Agreement ("Agreement") is entered into by and between Innovex Consultancy Services, operating under the brand name Innovex Store (hereinafter referred to as "Innovex Store", "Company", "Platform", "We", "Us", or "Our"), and the individual, business entity, or organization registering as a seller on the Platform (hereinafter referred to as the "Seller", "You", or "Your").

This Agreement governs the rights, responsibilities, and obligations of both Innovex Store and the Seller in relation to the use of the Platform for listing, marketing, and selling products.

By registering as a Seller, creating a Seller Account, or using the Seller Dashboard on Innovex Store, You acknowledge that You have read, understood, and agreed to be legally bound by the terms and conditions of this Agreement, together with all applicable marketplace policies, including but not limited to the Privacy Policy, Payment & Payout Policy, Shipping Policy, Return & Refund Policy, and any other policies published or updated by Innovex Store from time to time.

If You do not agree with any part of this Agreement, You must not register as a Seller or use the Platform.

1. About Innovex Store

Innovex Store is an online marketplace operated by Innovex Consultancy Services, created to help fashion businesses establish and grow their online presence.

The Platform is designed for:

• Clothing Brands
• Boutique Owners
• Manufacturers
• Wholesalers
• Instagram Sellers
• Resellers

Innovex Store enables Sellers to create their own Brand Store, showcase and manage their product catalog, receive and manage customer orders, and sell products through both their dedicated Brand Store and the Innovex Store Marketplace.

Innovex Store acts solely as a technology-enabled marketplace that facilitates transactions between Buyers and Sellers. Unless otherwise expressly stated, Innovex Store does not manufacture, own, purchase, stock, or take title to the products listed by Sellers on the Platform.

Each Seller shall remain solely responsible for the quality, authenticity, pricing, inventory, packaging, shipping, warranty (if applicable), and legal compliance of the products listed and sold through the Platform.

Innovex Store reserves the right to introduce, modify, enhance, or discontinue any feature, functionality, or service offered on the Platform at its sole discretion.

2. Seller Eligibility

To register and sell on Innovex Store, the Seller must:

• Provide accurate, complete, and up-to-date registration information.
• Own, operate, or be authorized to represent the business or brand being registered.
• Have the legal right and necessary permissions to list, market, and sell the products offered on the Platform.
• Submit all required documents and information requested during the registration and verification process.
• Maintain a valid bank account in the Seller's or registered business's name for receiving payouts.
• Comply with all applicable laws, regulations, and government requirements in India relating to the products listed and sold through the Platform.
• Ensure that all information and documents submitted remain accurate and are updated whenever changes occur.

Innovex Store reserves the right to verify the information and documents submitted by the Seller at any stage of the onboarding process or during the Seller's use of the Platform.

Innovex Store may approve, reject, suspend, or terminate any Seller application or account if:

• The submitted information or documents are found to be false, inaccurate, incomplete, or misleading.
• The Seller fails to meet the Platform's eligibility or compliance requirements.
• The Seller violates this Agreement or any applicable Platform policies.

The decision of Innovex Store regarding Seller eligibility, verification, approval, suspension, or termination shall be final, subject to applicable law.

3. Seller Registration & Verification

To become a Seller on Innovex Store, applicants are required to complete the Seller Registration process by providing accurate and complete information as requested by the Platform.

As part of the registration and verification process, the Seller may be required to submit the following information and documents:

• Full Name
• Mobile Number
• Email Address
• Store Name
• Business Type
• Business Category
• PAN Card
• Aadhaar Card
• Bank Account Details (for payout purposes)
• Brand Logo
• GST Number (if applicable or required under applicable law)
• Social Media Profile Links (if available)
• Website URL (if available)

Innovex Store may request additional information or supporting documents whenever required for identity verification, business verification, regulatory compliance, fraud prevention, or operational purposes.

Submission of the registration application does not guarantee approval. All applications are subject to review and verification by Innovex Store. The Company reserves the right to approve, reject, or request additional information before activating a Seller account.

The Seller represents and warrants that all information and documents submitted during registration are true, accurate, complete, and not misleading.

The Seller shall promptly notify Innovex Store and update their account information whenever there is any change to the submitted details, including but not limited to contact information, bank account details, business information, or legal documents.

Innovex Store reserves the right to suspend, restrict, or terminate a Seller account if any information or document submitted is found to be false, inaccurate, expired, incomplete, fraudulent, or misleading.

3.1 Document Verification
Innovex Store reserves the right to verify the authenticity of any document or information submitted by the Seller through manual review or third-party verification services. The Seller agrees to cooperate with any verification process and provide additional information or documents if requested. Failure to comply with verification requirements may result in the rejection of the registration application, suspension of the Seller account, or termination of this Agreement.

4. Seller Responsibilities

The Seller agrees to perform the following responsibilities while using the Innovex Store Platform:

4.1 Product Information

The Seller shall ensure that all product information uploaded to the Platform, including product titles, descriptions, specifications, pricing, sizes, colours, images, and other relevant details, is accurate, complete, and up to date at all times.

4.2 Product Authenticity

The Seller shall list only genuine, original, and legally sellable products. The Seller shall not list counterfeit, prohibited, illegal, or infringing products on the Platform.

4.3 Inventory Management

The Seller shall maintain accurate inventory levels and promptly update product availability to prevent overselling or order cancellations due to stock unavailability.

4.4 Pricing

The Seller shall ensure that all product prices displayed on the Platform are accurate and comply with applicable laws and regulations. Any pricing errors shall be corrected immediately upon discovery.

4.5 Order Fulfilment

The Seller shall process, pack, and dispatch customer orders within the timeline communicated on the Platform and shall make reasonable efforts to avoid delays.

4.6 Product Quality

The Seller shall ensure that every product delivered to customers meets the quality, specifications, and description provided in the product listing.

4.7 Customer Service

The Seller shall communicate with customers in a professional, respectful, and timely manner and cooperate with Innovex Store in resolving customer queries, complaints, returns, and disputes.

4.8 Legal Compliance

The Seller shall comply with all applicable laws, rules, regulations, tax requirements, and government notifications relating to the manufacture, marketing, sale, packaging, shipping, and delivery of products.

4.9 Policy Compliance

The Seller shall comply with this Agreement and all policies, guidelines, and procedures published by Innovex Store, including any updates issued from time to time.

4.10 Account Security

The Seller shall be solely responsible for maintaining the confidentiality of their Seller Account credentials and for all activities carried out using their account.

4.11 Cooperation

The Seller agrees to provide any additional information or documents reasonably requested by Innovex Store for verification, compliance, operational, or customer service purposes.

4.12 Seller Warranty & Acknowledgement
The Seller acknowledges and agrees that they are solely responsible for:

• The quality, authenticity, and legality of all listed products.
• Product descriptions, specifications, pricing, and images.
• Inventory management and stock availability.
• Product packaging and shipment.
• Compliance with applicable laws and regulations.
• Customer satisfaction relating to the products sold through the Platform.

Innovex Store provides the marketplace platform and does not manufacture, own, inspect, or guarantee the products listed by Sellers.

 

5. Product Listings

The Seller may create, modify, and manage product listings through the Seller Dashboard.

Each product listing may include, but is not limited to:

• Product Title
• Product Description
• Product Images
• Product Price
• Size
• Colour
• SKU
• Inventory Quantity
• Product Specifications
• Brand Information
• Any other information required by Innovex Store.

The Seller shall ensure that all product listings are accurate, complete, and do not contain false, misleading, or deceptive information.

Innovex Store reserves the right, at its sole discretion, to edit, suspend, reject, hide, or permanently remove any product listing that:

• Violates this Agreement or any Platform Policy.
• Contains false, misleading, or inaccurate information.
• Infringes any copyright, trademark, patent, or other intellectual property rights.
• Contains offensive, obscene, illegal, or prohibited content.
• Violates applicable laws or government regulations.
• May negatively impact customer experience or the reputation of Innovex Store.

Innovex Store may also request the Seller to modify or update any product listing before making it available on the Platform.

 

6. Pricing & Inventory

The Seller shall be solely responsible for determining and maintaining the selling price of products listed on the Platform.

The Seller agrees to:

• Maintain accurate inventory records.
• Update stock availability regularly.
• Promptly mark products as unavailable when out of stock.
• Ensure that displayed prices are correct and comply with applicable laws.
• Correct any pricing errors immediately upon becoming aware of them.

Innovex Store shall not be liable for any losses, cancellations, customer claims, or disputes arising from inaccurate pricing, incorrect inventory information, or stock shortages caused by the Seller.

7. Orders & Order Fulfilment

Upon receiving an order through the Platform, the Seller shall:

• Accept or reject the order within the prescribed timeline.
• Prepare and securely package the products.
• Dispatch the order within the estimated dispatch timeline.
• Ensure that the correct products are shipped to the customer.
• Provide accurate shipping and tracking information, where applicable.
• Cooperate with Innovex Store regarding order-related queries or disputes.

Repeated delays, order cancellations, failure to dispatch orders, or poor order fulfilment performance may result in warnings, temporary restrictions, suspension, or termination of the Seller Account.

8. Shipping Policy

Innovex Store may provide one or more shipping options to Sellers, subject to availability and operational requirements.

The available shipping methods include:

• Seller Self-Shipping (Prepaid Orders Only)
• Innovex-assisted Shipping (Prepaid and Cash on Delivery (COD), where available)

8.1 Seller Self-Shipping

Where the Seller chooses to use Seller Self-Shipping, the Seller shall be solely responsible for:

• Packing products securely to prevent damage during transit.
• Dispatching orders within the committed timeline.
• Selecting a reliable courier service.
• Providing valid shipment tracking details to Innovex Store (where applicable).
• Ensuring successful delivery to the customer.

Cash on Delivery (COD) orders shall not be permitted under Seller Self-Shipping unless expressly approved in writing by Innovex Store.

8.2 Innovex-assisted Shipping

Where Innovex-assisted Shipping is available and selected, Innovex Store may arrange shipping through its logistics partners.

Availability of shipping services, courier partners, delivery timelines, and COD facilities may vary depending on the delivery location, product category, operational feasibility, and other business considerations.

8.3 Packaging Responsibility

The Seller shall ensure that every product is packed securely and appropriately to minimize the risk of damage during transportation.

The Seller shall remain responsible for any loss, damage, or customer complaints arising from improper, insufficient, or negligent packaging.

8.4 Shipping Policy Updates

Innovex Store reserves the right to introduce, modify, suspend, or discontinue any shipping method, logistics partner, shipping charges, delivery timelines, or related policies at its sole discretion. Any material changes shall be communicated to Sellers through the Platform or other official communication channels.

9. Payments & Payouts

9.1 Payment Processing

All customer payments made on the Platform shall be processed through Razorpay or any other payment gateway approved by Innovex Store from time to time.

Innovex Store reserves the right to change or add payment gateway providers without prior notice.

9.2 Seller Payouts

Subject to successful payment collection from the customer and after considering any applicable deductions, eligible payouts shall generally be processed to the Seller's registered bank account on the next business day.

Payouts are subject to:

• Successful payment settlement by the payment gateway.
• Order confirmation and verification.
• Applicable platform commission and charges.
• Refunds or return requests.
• Payment disputes or chargebacks.
• Fraud prevention and risk assessment.
• Compliance with applicable laws and Platform policies.

The actual credit of funds to the Seller's bank account may vary depending on banking systems, payment gateway processing timelines, weekends, public holidays, or other circumstances beyond Innovex Store's reasonable control.

 

9.3 Payout Method

All payouts shall be transferred only to the bank account registered and verified with the Seller Account.

The Seller shall ensure that all bank account details provided to Innovex Store are accurate, complete, and up to date.

Innovex Store shall not be responsible for delays or failed transfers resulting from incorrect or outdated banking information provided by the Seller.

 

9.4 Payment Adjustments

Innovex Store reserves the right to adjust or withhold payouts for amounts relating to:

• Customer refunds
• Returned orders
• Cancelled orders
• Chargebacks
• Duplicate payments
• Fraudulent transactions
• Incorrect settlements
• Government deductions or statutory requirements
• Any other amounts lawfully recoverable from the Seller

Such adjustments may be deducted from current or future payouts.

 

9.5 Payout Hold

Innovex Store may temporarily withhold or delay Seller payouts where reasonably necessary, including but not limited to:

• Verification of Seller information or documents.
• Investigation of suspected fraudulent or suspicious activity.
• Customer complaints or unresolved disputes.
• Compliance with applicable laws or regulatory requirements.
• Technical, operational, or payment gateway issues.

Where practicable, Innovex Store will inform the Seller of the reason for any significant payout hold.

 

9.6 Taxes

The Seller shall be solely responsible for determining, collecting, reporting, and paying all applicable taxes, duties, levies, and statutory charges arising from the sale of products through the Platform, unless otherwise required by applicable law.

Innovex Store may deduct taxes at source or comply with other statutory obligations where required under applicable laws.

 

9.7 Payment Policy Updates

Innovex Store reserves the right to modify its payment process, payout schedule, settlement procedures, payment gateway providers, or related policies from time to time.

Any material changes affecting Sellers shall be communicated through the Seller Dashboard, registered email address, or other official communication channels before becoming effective.

10. Commission Policy

10.1 Seller Registration

Registration as a Seller on Innovex Store is completely FREE. Innovex Store does not charge any registration or onboarding fee unless otherwise notified through an official Platform policy.

 

10.2 Launch Offer

As part of the launch promotion, the first ten (10) approved Sellers on Innovex Store shall be eligible for 0% platform commission on successful orders for a period of six (6) months from the date their Seller Account is approved and activated by Innovex Store.

This promotional offer is non-transferable, non-exchangeable, and shall apply only to Sellers who qualify under the launch offer criteria determined by Innovex Store.

 

10.3 Standard Commission

Upon expiry of the promotional period, the Seller shall pay the applicable platform commission on successful orders in accordance with the Innovex Store Commission Policy in effect at the relevant time.

The applicable commission rate, calculation method, and any additional marketplace charges shall be published in the Commission Policy available through the Seller Dashboard or the Innovex Store website.

 

10.4 Commission Calculation

Unless otherwise specified in the applicable Commission Policy, platform commission shall be calculated on the product selling price, excluding applicable taxes, shipping charges, cancelled orders, refunded orders, and any other amounts excluded under the Commission Policy.

 

10.5 Changes to Commission

Innovex Store reserves the right to revise, modify, increase, decrease, introduce, or discontinue any commission rate, marketplace fee, service charge, promotional offer, or pricing structure at its sole discretion based on business requirements, operational costs, market conditions, regulatory requirements, or other commercial considerations.

Any material changes to the commission structure shall be communicated to Sellers at least thirty (30) days prior to the effective date through the Seller Dashboard, registered email address, website, or any other official communication channel.

Continued use of the Platform after the effective date of such changes shall constitute the Seller's acceptance of the revised Commission Policy.

 

10.6 Taxes & Government Charges

Any applicable taxes, statutory deductions, or government charges relating to the commission or services provided by Innovex Store shall be charged, collected, or deducted in accordance with applicable laws.

11. Return & Refund Policy

11.1 General Policy

Innovex Store aims to provide a fair and transparent return and refund process for both Customers and Sellers. All return and refund requests shall be governed by the Innovex Store Return & Refund Policy, as updated from time to time.

 

11.2 Return Requests

Customers may request a return only for products that are eligible under the Innovex Store Return & Refund Policy and within the applicable return period specified for the product.

Submission of a return request does not guarantee approval. Each request shall be reviewed based on the applicable policy and supporting information.

 

11.3 Seller Responsibilities

The Seller shall:

• Review and respond to eligible return requests within the timeline prescribed by Innovex Store.
• Accept approved returns in accordance with the Platform's policies.
• Ensure returned products are inspected promptly after receipt.
• Cooperate with Innovex Store in resolving return-related disputes and customer complaints.
• Bear responsibility for returns resulting from incorrect products, defective products, damaged products, inaccurate product descriptions, or quality-related issues attributable to the Seller.

 

11.4 Refund Processing

Where a return request is approved, Innovex Store shall process the customer's refund in accordance with the applicable Return & Refund Policy.

Refunds may be subject to successful return verification, inspection of the returned product, payment gateway processing timelines, and any applicable deductions permitted under the Platform policies.

 

11.5 Non-Returnable Products

Certain products may not be eligible for return or refund due to their nature, hygiene considerations, customization, or other reasons specified in the Innovex Store Return & Refund Policy.

Innovex Store reserves the right to determine the return eligibility of any product category.

 

11.6 Fraud Prevention

Innovex Store reserves the right to reject, suspend, or investigate any return or refund request suspected to involve fraud, misuse, abuse of the return policy, or any activity that may adversely affect the Platform or its users.

 

11.7 Policy Updates

Innovex Store reserves the right to amend, modify, or update its Return & Refund Policy from time to time.

Any material changes shall be communicated through the Seller Dashboard, registered email address, the Innovex Store website, or any other official communication channel.

 

12. Cash on Delivery (COD) & Shipping Policy

12.1 COD Eligibility

Cash on Delivery ("COD") shall be available only for eligible products, serviceable locations, and shipping methods as determined by Innovex Store from time to time.

Innovex Store reserves the right to enable, restrict, or discontinue COD services for any Seller, product, category, or location without prior notice.

 

12.2 Shipping Requirement for COD Orders

For all orders placed using the Cash on Delivery (COD) payment method, the Seller shall use only the shipping services integrated, approved, or arranged by Innovex Store.

The Seller shall not use their own courier service or any third-party courier account for COD orders unless expressly authorized in writing by Innovex Store.

This requirement ensures:

• Secure collection of Cash on Delivery payments.
• Accurate settlement of Seller payouts.
• Efficient shipment tracking.
• Proper handling of returns, refunds, and customer disputes.
• Compliance with Innovex Store operational standards.

 

12.3 Prepaid Orders

For orders paid online through prepaid payment methods, the Seller may choose to:

• Use their own courier or logistics service; or
• Use the shipping partners integrated with Innovex Store,

subject to compliance with the Platform's Shipping Policy and any applicable operational requirements.

 

12.4 Failed Deliveries & COD Refusals

The Seller acknowledges that COD orders may be returned due to reasons including, but not limited to:

• Customer refusal to accept delivery.
• Incorrect or incomplete delivery address.
• Customer unavailable at the delivery location.
• Failed delivery attempts by the courier partner.
• Other operational circumstances beyond the reasonable control of Innovex Store.

Innovex Store shall not be liable for any loss arising from failed COD deliveries, except where such liability is expressly required under applicable law.

12.5 Policy Updates

Innovex Store reserves the right to modify or update its Cash on Delivery (COD) Policy, Shipping Policy, eligible shipping methods, courier partners, operational procedures, or service availability from time to time.

Any material changes shall be communicated to Sellers through the Seller Dashboard, registered email, the Innovex Store website, or any other official communication channel.

13. Intellectual Property

13.1 Ownership of Content

The Seller represents and warrants that all content uploaded, submitted, or published on the Platform, including but not limited to product images, product descriptions, videos, logos, trademarks, brand names, designs, artwork, promotional materials, and other intellectual property ("Seller Content"), is either owned by the Seller or used with the necessary rights, licenses, authorizations, or permissions.

The Seller shall be solely responsible for ensuring that the Seller Content does not infringe or violate the intellectual property rights or any other legal rights of any third party.

13.2 License Granted to Innovex Store

The Seller grants Innovex Store a non-exclusive, worldwide, royalty-free, revocable (upon termination of this Agreement, except as required for legal or operational purposes), and limited license to use, reproduce, display, publish, distribute, modify (only for formatting, resizing, or technical compatibility), and promote the Seller Content solely for the following purposes:

• Displaying products on the Innovex Store Platform.
• Operating and maintaining the marketplace.
• Marketing and promoting the Seller's products.
• Advertising Innovex Store through digital, print, or social media channels.
• Improving the Platform and customer experience.

This license does not transfer ownership of the Seller's intellectual property to Innovex Store.

 

13.3 Intellectual Property Infringement

The Seller shall not upload, publish, or sell any product or content that:

• Infringes any copyright, trademark, patent, design right, trade secret, or other intellectual property rights.
• Uses another person's brand name, logo, images, or content without proper authorization.
• Misleads customers regarding the ownership or authenticity of any product.

 

13.4 Platform Rights

Innovex Store reserves the right to remove, disable, suspend, or restrict access to any product listing or content that is suspected of infringing intellectual property rights or violating applicable laws or Platform policies.

Innovex Store may request additional proof of ownership or authorization from the Seller before restoring any removed content.

 

13.5 Indemnity

The Seller agrees to indemnify and hold harmless Innovex Store, its directors, employees, partners, and affiliates from any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or relating to any alleged or actual infringement of intellectual property rights caused by the Seller's products or Seller Content, to the extent permitted by applicable law.

 

13.6 Innovex Store Intellectual Property

All rights, title, and interest in the Innovex Store name, logo, website, software, designs, trademarks, content, technology, and other intellectual property shall remain the exclusive property of Innovex Consultancy Services or its licensors.

Nothing in this Agreement grants the Seller any ownership rights or license to use Innovex Store's intellectual property except as expressly authorized in writing.

14. Customer Service Standards

14.1 Seller Responsibilities

The Seller shall provide professional, courteous, and timely customer service throughout the order lifecycle. The Seller agrees to:

• Respond promptly to customer queries, complaints, and support requests.
• Cooperate with Innovex Store in resolving customer issues, disputes, returns, and refund requests.
• Maintain a high standard of customer service and product quality.
• Communicate honestly, respectfully, and professionally with customers at all times.
• Avoid providing false, misleading, offensive, abusive, threatening, or inappropriate information or communication.
• Comply with all customer service guidelines and policies published by Innovex Store.

14.2 Customer Satisfaction

The Seller acknowledges that customer satisfaction is essential to maintaining the quality and reputation of the Platform. Innovex Store may monitor Seller performance based on customer feedback, order fulfilment, cancellation rates, dispute history, and other performance metrics.

Innovex Store reserves the right to require corrective action where a Seller consistently fails to meet acceptable customer service standards.

 

15. Account Suspension & Termination

15.1 Suspension or Termination

Innovex Store reserves the right to suspend, restrict, or terminate a Seller Account, temporarily or permanently, at its sole discretion, if the Seller:

• Provides false, inaccurate, misleading, or fraudulent information.
• Violates this Agreement or any Platform policy.
• Engages in fraudulent, illegal, deceptive, or unethical business practices.
• Sells counterfeit, prohibited, or unauthorized products.
• Receives repeated and substantiated customer complaints.
• Maintains consistently poor seller performance.
• Fails to comply with applicable laws or regulatory requirements.
• Misuses or attempts to misuse the Platform or its services.
• Performs any activity that may damage the reputation, security, or integrity of Innovex Store.

15.2 Effect of Suspension

During suspension or investigation, Innovex Store may:

• Temporarily disable the Seller Account.
• Remove or hide product listings.
• Suspend order processing.
• Delay or withhold payouts where reasonably necessary.
• Request additional information or documents from the Seller.

15.3 Termination

Upon termination of the Seller Account:

• The Seller's access to the Platform shall immediately cease.
• Active listings may be removed from the Platform.
• Outstanding obligations relating to completed orders, refunds, disputes, or payments shall continue until resolved.
• Clauses relating to payments, confidentiality, intellectual property, limitation of liability, indemnity, and dispute resolution shall survive termination where applicable.

Where reasonably practicable, Innovex Store may provide prior notice before suspension or termination, except where immediate action is necessary to protect the Platform, its users, or comply with legal obligations.

16. Confidentiality

Both Innovex Store and the Seller agree to keep confidential all non-public business, technical, financial, operational, and commercial information exchanged during the course of this business relationship.

Neither party shall disclose such confidential information to any third party except:

• With the prior written consent of the other party.
• Where disclosure is required under applicable law, court order, or regulatory authority.
• To professional advisors, auditors, payment partners, or service providers who are bound by appropriate confidentiality obligations.

The confidentiality obligations under this Agreement shall continue even after termination of the Seller Account.

17. Limitation of Liability

Innovex Store provides an online technology platform that facilitates transactions between Buyers and Sellers.

Unless otherwise required by applicable law, Innovex Store shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

• Loss of profits.
• Loss of business opportunities.
• Loss of goodwill.
• Business interruption.
• Data loss.
• Product-related claims arising from the Seller's products or services.

Innovex Store shall not be responsible for:

• Product quality or authenticity.
• Manufacturing defects.
• Pricing errors made by the Seller.
• Delays caused by logistics partners or force majeure events.
• Customer misuse of products.
• Acts or omissions of the Seller.

Nothing in this Agreement shall exclude or limit liability where such exclusion is prohibited by applicable law.

18. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India.

The parties shall make reasonable efforts to resolve any dispute through mutual discussions and good-faith negotiations.

If a dispute cannot be resolved amicably within thirty (30) days, it shall be subject to the exclusive jurisdiction of the competent courts located in the city where Innovex Consultancy Services has its registered office.

Nothing in this clause shall prevent Innovex Store from seeking interim or injunctive relief before any competent court where necessary to protect its legal rights or intellectual property.

20. Seller Declaration & Acceptance

By signing this Agreement or by registering as a Seller on Innovex Store, I/We hereby declare, represent, and warrant that:

1. I/We have carefully read, understood, and voluntarily accepted the terms and conditions of this Seller Agreement.
2. All information, documents, and details provided during the Seller registration and verification process are true, accurate, complete, and not misleading.
3. I/We agree to comply with this Seller Agreement, the Privacy Policy, Shipping Policy, Return & Refund Policy, Commission Policy, Payment & Payout Policy, and all other policies published by Innovex Store from time to time.
4. I/We understand that Innovex Store reserves the right to suspend, restrict, or terminate my/our Seller Account in accordance with this Agreement if any policy is violated or if false information is provided.
5. I/We acknowledge that Innovex Store acts solely as an online marketplace facilitating transactions between Buyers and Sellers and does not own, manufacture, or guarantee the products listed by me/us.
6. I/We agree to comply with all applicable laws, regulations, and statutory requirements governing the sale of products through the Platform.
7. I/We understand and agree that continued use of the Platform after any amendment to this Agreement or related policies shall constitute my/our acceptance of such amendments.
